Section 1031 of the Internal Revenue Code (the "Code") allows persons or entities to sell or exchange real property that is held for investment purposes and replace that property with other property of a like kind without realizing tax on profits. The Code and its voluminous Revenue Rulings make compliance very treacherous with the result being unexpected tax which could be up to 39 % or more in some situations.
